Terms of Service

Welcome to ZeusX.ai ("ZeusX", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the ZeusX platform, including our website at www.zeusx.ai, web application, APIs, AI agents, marketplace, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Platform" means the ZeusX web application, APIs, and infrastructure.
• "Agent" means an AI-powered automation configured through the Platform.
• "MCP Server" means a Model Context Protocol server integration connected through the Platform.
• "Marketplace" means the section of the Platform where users can discover, share, or subscribe to Agents.
• "Customer Data" means any data, content, or materials you upload, submit, or transmit through the Service.
• "Output" means any content generated by AI models through the Service in response to your inputs.
• "Subscription" means a paid plan granting access to premium features of the Service.

2. Eligibility and Account Registration

You must be at least 13 years of age to use the Service. If you are under 18, you must have permission from a parent or legal guardian. By creating an account, you represent that the information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. This license does not include the right to sublicense, resell, or redistribute the Service, except as expressly permitted through Marketplace features.

4. AI Technology and Output Disclaimer

The Service utilizes third-party AI models, including but not limited to models provided by Anthropic (Claude), OpenAI (GPT), and other providers. You acknowledge and agree that:

• AI-generated Output may contain inaccuracies, errors, biases, or hallucinations. You are solely responsible for reviewing and verifying all Output before relying on it.
• ZeusX does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated Output.
• You must exercise independent judgment when using AI Output, particularly for decisions affecting health, safety, legal matters, or financial outcomes.
• AI models may produce different results for the same input at different times. Consistency of Output is not guaranteed.
• ZeusX is not liable for any damages, losses, or consequences arising from your use of or reliance on AI-generated Output.

5. Customer Data and Intellectual Property

5.1 Your Data

You retain all ownership rights in your Customer Data. By using the Service, you grant ZeusX a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your Customer Data solely as necessary to provide and improve the Service. We do not use your Customer Data to train AI foundation models.

5.2 AI Output

Subject to applicable law and the terms of underlying AI providers, you own the Output generated through your use of the Service, to the extent such Output is ownable. ZeusX makes no representations regarding the intellectual property status of AI-generated Output.

5.3 Platform IP

ZeusX and its licensors own all rights, title, and interest in the Platform, including its software, design, trademarks, and documentation. Nothing in these Terms transfers any ownership of the Platform to you.

5.4 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant ZeusX an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

6. Marketplace Terms

If you list an Agent on the Marketplace, you represent that you have all necessary rights to the Agent and its content. ZeusX reserves the right to remove any Marketplace listing at any time for any reason, including violation of these Terms, quality concerns, or security issues. Revenue sharing for Marketplace transactions is governed by the applicable Marketplace Creator Agreement.

7. MCP Server Integrations

The Platform allows you to connect third-party MCP servers. You acknowledge that:

• You are solely responsible for the configuration, security, and compliance of any third-party MCP server you connect.
• ZeusX is not liable for the behavior, availability, or data handling practices of third-party MCP servers.
• API keys and credentials for third-party services are your responsibility to manage and secure.

8. Subscription, Billing, and Payment

Certain features of the Service require a paid Subscription. Payments are processed by Stripe, Inc. and are subject to Stripe's terms of service. By subscribing, you agree that:

• Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
• Fees are non-refundable except as required by applicable law or as otherwise stated in our refund policy.
• You are responsible for all applicable taxes.
• We may change pricing with at least 30 days' notice before the next billing cycle.

9. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Generate, distribute, or store illegal, harmful, abusive, defamatory, or obscene content.
• Attempt to reverse-engineer, decompile, or extract source code from the Platform.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to develop competing AI foundation models or services.
• Misrepresent AI-generated Output as human-created where disclosure is required by law or regulation.
• Use the Service for automated decision-making that affects individual rights without appropriate human oversight.
• Scrape, crawl, or use automated means to access the Service beyond the scope of provided APIs.

10. Third-Party Services

The Service integrates with third-party services, including AI model providers (Anthropic, OpenAI, and others), authentication providers (Supabase), payment processors (Stripe), and connected MCP servers. Your use of these third-party services is subject to their respective terms and privacy policies. ZeusX is not responsible for the availability, accuracy, or practices of any third-party service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEUSX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZEUSX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZEUSX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Indemnification

You agree to indemnify, defend, and hold harmless ZeusX and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any rights of a third party.

14. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account. We may suspend or terminate your access to the Service immediately if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for 30 days following termination, after which it may be permanently deleted.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16. Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

18. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZeusX regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure. ZeusX shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, or internet disruptions.
